Kadie's Terms of Use

Please read these Terms of Use (“Agreement”) carefully before using Kadie (“SaaS App”). This Agreement sets forth the terms and conditions governing your use of the app.
1. Acceptance of Terms
1.1. These Terms of Service (“TOS”) govern Your access to and use of Kadie, the SaaS product operated by Keenduck (“Keenduck”, “we”, “our”, or “Processor”). “You” and “Customer” mean the organization or individual subscribing to or using Kadie.
1.2. By creating an account, subscribing, accessing, or using Kadie, You agree to be bound by these TOS, the Kadie AI Usage & Data Policy, and the Data Processing Addendum (DPA) published by Keenduck. The Kadie product page (features, plans and FAQ) is at https://keenduck.com/kadie.
1.3. These TOS apply automatically upon subscription and no signature is required for this TOS or the DPA to become binding, except where a separately executed agreement provides otherwise.
2. Definitions
Capitalized terms used in these TOS have the meanings set out in the DPA. Key definitions include: “Customer Data”, “Personal Data”, “Token(s)”, “AI Provider”, and “Subprocessor”.
3. Services and Modules
3.1. Kadie is a Governance, Risk & Compliance (GRC) platform that offers modular features (organization chart, processes, context analysis (SWOT/PESTEL), stakeholders, roles & responsibilities, assets & resources, KPIs, legal requirements, risks & opportunities, audits, findings management, documents, regulatory planning, incidents, suppliers, objectives, training, access matrix, ISMS applicability and more). Some modules include AI-enhanced capabilities (explicitly triggered by users) and optional internal document management with Markdown + AI features. 4. Account Registration, Authorization & Use
4.1. You must provide accurate registration information and maintain the confidentiality of credentials. You are responsible for all activity conducted under your account.
4.2. You represent and warrant that You have full authority to upload and process any Customer Data submitted to Kadie and that you have obtained all required consents and legal bases for the processing described in the DPA.
5. Subscription Plans, Tokens & Billing
5.1. Kadie is provided under subscription plans (Basic, One, Pro, or other commercial plans). Plan features and pricing are published on the Kadie product/pricing page.
5.2. AI features consume “Tokens” (units of text processing). How Tokens are measured and how Customer Data is processed when using AI features is described in the AI Usage & Data Policy and the DPA. Commercial rules for Token entitlements, validity, and expiry are set out in these TOS (including Section 5.3) and on the pricing page. You may purchase Tokens via offered packages. Token balances and usage history are visible inside Kadie within the limits described in-product.
5.3. Token entitlements; validity; expiry. Your right to consume Tokens comes from entitlements included in your subscription (where applicable) and from Token packs or add-ons you purchase. Each entitlement has a validity period stated at purchase or in your account (including the term shown for a pack on the pricing page, e.g. six (6) months or one (1) year). Unused Tokens expire at the end of that validity period. Token balances do not automatically reset or refill each subscription billing cycle as a new full allowance unless expressly stated for your specific plan in writing. You draw down the Tokens available under each active entitlement until that balance is exhausted or the validity period ends, whichever comes first. Purchased packs grant a fixed Token amount for the stated term; that term is the expiry window for unused Tokens and does not mean You receive that Token amount again each month during the term.
5.4. When your token balance is insufficient to complete an AI operation, AI functionality will be unavailable for your account until you recharge tokens. Excess usage beyond your current balance may be charged per the billing rules or deducted from the next recharge as described in your account/billing settings.
5.5. Subscription fees, token prices, billing cycles, taxes and payment methods are defined in the pricing page and your account invoice. All fees are non-refundable except as required by law or where Keenduck elects otherwise in writing.
6. Free Trials and Promotions
6.1. Keenduck may offer limited free trials or promotional access. Trial periods and included features are described at signup; Keenduck may require payment method details to start a trial. At the end of a trial, the account will convert to a paid plan or feature restrictions will apply unless the Customer cancels.
7. Intellectual Property
7.1. Keenduck retains all rights, title and interest in Kadie, improvements, software, models, workflows, system prompts, and the Service (other than Customer Data and Customer-owned content).
7.2. Customer retains all right, title and interest in Customer Data and any content Customer creates or saves in Kadie. Customer grants Keenduck a limited, non-exclusive license to process Customer Data to provide the Service and to perform billing, metrics and security functions as described in the DPA.
8. Data Protection & Privacy
8.1. Keenduck processes Customer Data in accordance with the DPA and the Kadie AI Usage & Data Policy. The DPA describes subprocessors (initially OpenAI for inference and AWS for hosting), retention schedules, deletion procedures, and Customer rights.
8.2. OpenAI’s published materials indicate that API inputs/outputs are not used to train OpenAI models by default and that enterprise data controls (such as Zero Data Retention and Enterprise Key Management) are available for qualifying customers. Keenduck uses OpenAI as an AI Provider for inference; Customers requiring specific retention or zero-retention configurations should contact Keenduck for enterprise arrangements.
9. AI Functionality; Accuracy; Limitations
9.1. AI features are probabilistic and may produce incomplete, inaccurate or unexpected outputs (“hallucinations”). Customers must validate AI outputs before relying on them for critical decisions (legal, regulated, medical, financial or similar). See the AI Usage & Data Policy for guidance on responsible use.
9.2. Models have context/input/output limits. Kadie includes mechanisms to chunk/prepare larger requests, but extremely large or complex requests may require staged processing.
9.3. Keenduck does not warrant correctness of AI outputs. To the fullest extent permitted by law, Keenduck disclaims liability for decisions made solely on AI outputs without independent verification.
10. Subprocessors; Third-party Services
10.1. Keenduck uses third-party subprocessors to provide Kadie. Initial subprocessors include OpenAI (model inference) and Amazon Web Services (hosting/infrastructure). These subprocessors publish public documentation regarding their data practices and contractual controls. Customers relying on specific contractual assurances (e.g., ZDR, EKM, or other enterprise controls) must contact Keenduck so Keenduck can assess eligibility and arrange required commercial addenda.
10.2. Keenduck will maintain a current list of subprocessors on the Kadie product page and will notify Customers of material changes. Customers may object to newly added subprocessors within 14 days and Keenduck will engage in good-faith discussions; if not resolvable, contractual termination rights may apply as set in the DPA.
11. Security & Incident Response
11.1. Keenduck implements reasonable organizational and technical security measures (TLS in transit, encryption at rest, MFA/least-privilege controls, monitoring, vulnerability management and incident response), as further described in the AI Usage & Data Policy and the DPA.
11.2. Keenduck will notify affected Customers without undue delay upon becoming aware of a confirmed security incident materially affecting Customer Data and will cooperate with Customer to respond and remediate.
12. Customer Obligations & Acceptable Use
12.1. You must not: (a) submit data You are prohibited from sharing with third-party AI providers; (b) attempt to reverse-engineer Keenduck’s Kadie or breach platform security; (c) use Kadie to store or process unlawful or highly sensitive data (e.g., unredacted national identity numbers or unencrypted health records) without first arranging appropriate enterprise controls with Keenduck.
12.2. You are responsible for managing user access, credentials, roles/permissions, and for ensuring that end users comply with these TOS.
13. Confidentiality
13.1. Each party shall keep confidential the other party’s Confidential Information and shall use it only to perform its obligations under these TOS, the DPA, or the applicable subscription agreement. “Confidential Information” does not include information that is publicly available or independently developed.
14. Warranties; Disclaimers; Liability Limitation
14.1. The Service is provided “AS IS” and “AS AVAILABLE.” Keenduck disclaims all express and implied warranties except those explicitly stated in a signed agreement.
14.2. To the extent permitted by applicable law, Keenduck’s aggregate liability for any claim arising out of or related to these TOS or the Service is limited to the amounts paid by Customer to Keenduck in the 12 months preceding the claim (or USD 10,000 if lesser), except for liability arising from willful misconduct, gross negligence, or breach of confidentiality or data protection obligations.
14.3. Neither party will be liable for indirect, incidental, special, punitive or consequential damages (including lost profits), except as required by law.
15. Indemnification
15.1. Customer will indemnify, defend and hold harmless Keenduck and its personnel from third-party claims arising from (a) Customer Data or Customer’s use of the Service in violation of these TOS; (b) Customer’s violation of law; or (c) Customer’s breach of its obligations. Keenduck will indemnify Customer for claims arising from Keenduck’s breach of confidentiality or willful misconduct, subject to the limitations in Section 14.
16. Suspension & Termination
16.1. Keenduck may suspend or terminate Customer access for material breaches, unlawful use, non-payment, or security risks. Keenduck will provide notice and reasonable opportunity to cure where feasible.
16.2. On termination or expiration, Keenduck will provide export mechanisms for Customer Data and will delete or return Customer Data in accordance with the DPA and agreed retention schedules. Token balances and billing reconciliation will be handled per the billing terms.
17. Changes; Notices
17.1. Keenduck may modify these TOS, the AI Usage & Data Policy, and the DPA. Material changes affecting data handling or retention will be communicated per contractual notice periods and posted on the product/trust page. Continued use after notice constitutes acceptance of changes.
17.2. Notices shall be sent to the email on file or via the in-product notification mechanisms.
18. Governing Law & Dispute Resolution
18.1. These TOS are governed by the laws of the Republic of Chile. Disputes will be resolved as agreed in the underlying subscription agreement (or by arbitration/competent courts in Chile if no arbitration clause is agreed).
19. Miscellaneous
19.1. These TOS, together with the Kadie AI Usage & Data Policy, the DPA and any subscription/order forms, constitute the entire agreement between the parties regarding Kadie. If any provision is held invalid, the remainder of the TOS remains in effect.
